Kala Bio, Inc. and Virotek, Inc. have finalized a definitive agreement in which Kala will be appointed the exclusive U.S. distributor and reseller of Virotek’s ophthalmic genetic testing and screening program.
The companies first made their announcement last week by entering into a “letter of intent” (LOI; see here for details on what this is).
Lots to discuss here … starting with these players.
Operating out of Watertown, Massachusetts, Kala (formerly known as Kala Pharmaceuticals) is a clinical-stage biopharmaceutical company undergoing a transition in its scientific mission.
Historically: Following its divestiture of two FDA-approved ophthalmic drugs to Alcon in 2022, the company’s focus has been in developing biologics-based investigational therapies utilizing a proprietary mesenchymal stem cell secretome (MSC-S) platform.
- Most prominently: last year’s failed phase 2b trial evaluating KP1-012, an FDA Orphan Drug and Fast Track-designated, MSC-S therapy for treating persistent corneal epithelial defect (PCED).

As of 2026: The company has adjusted its strategy to developing an on-premises artificial intelligence (AI) infrastructure platform for the biotech industry.
Expand on that, please.
Earlier this year, Kala launched a 12-month strategic partnership with Younet AI (an AI agent creation platform) to license a proprietary AI research platform within the biotech field technology called Researgency.ai.
This dual strategy combines:
- Kala’s proprietary biologics pipeline consisting of its MSC-S platform and MSC-S product candidates (such as KPI-012)
- A scalable AI platform-as-a-service business, designed to deploy secure, purpose-built AI solutions directly within biotech and pharma client environments
And its plan for this AI platform?
As Kala enters what it calls its “next phase of growth," the company is looking to serve as a dedicated AI infrastructure partner for the biotechnology industry. See here for more details on this.
The first target: deploying its technology through Researgency.ai is on legacy trial data from its existing MSC-S and PCED research.

What it is: a Canadian genomics and precision health company genetic testing laboratory.

And regarding its partnership with Kala?
As we mentioned, the companies have finalized a 1-year deal for Kala to exclusively distribute and resell Virotek’s genetic testing and screening program for ophthalmological indications (inherited retinal disease).
- To note: This duration also has the potential to continue pending Kala achieving certain specific commercial milestones.
Per this framework: Kala will market, promote, and distribute Virotek's genetic testing and screening program across the United States to:
- Eyecare practices
- Telehealth platforms
- Other (unspecified) channels
What’s Virotek’s role?
The company will continue to operate its ophthalmology program's “underlying CLIA-registered laboratory infrastructure, kit fulfillment, specimen processing, and clinical reporting.”
- To note: Clinical Laboratory Improvement Amendments (CLIA) regulations include federal standards applicable to all U.S. facilities or sites that test human specimens for health assessment or to diagnose, prevent, or treat diseases.
Additionally, Virotek will provide training and program materials to Kala’s channel partners.
Anything else?
A right of first refusal (favoring Kala) is included for certain ophthalmology products and services that Virotek may propose to sell or license to a third party.
The deal also establishes a framework that (pending both companies’ agreement) will expand the collaboration’s focus beyond ophthalmology into “additional clinical verticals.”
- These additional areas may include oncology, a preventative-health testing franchise, telehealth, and white-label distribution channels.
And in the future: There’s also the potential for “U.S.-based laboratory capacity for the program," (in addition to current Canadian operations), they noted.
And how will profits be managed?
Kala and Virotek agreed to a profit-sharing structure for the ophthalmology program that will only take effect after Viretok “recovers its program costs.”
No specifics were provided on any additional commercial and / or financial terms.
Noted. So, how does this relate to Kala’s new scientific focus?
CEO Avi Minkowitz stated that the company’s current strategy is “to build operating scale through disciplined, staged transactions.”
- As such: This newest collaboration supports Kala’s intent to “pursue opportunities it believes can contribute to its operating base and be accretive over time, while preserving flexibility to evaluate additional opportunities as they arise.”
And as other reports have noted, the partnership also “offers Kala a revenue-generating opportunity aligned with its clinical-stage pipeline and existing relationships in the U.S. eye care community.”
